Terms of Service

1. About these terms
These terms are an agreement between TBD: legal entity name, TBD: jurisdiction of incorporation and address ("AlloPlace", "we", "us") and the business that signs up for AlloPlace ("you").
By creating an account or using AlloPlace, you agree to these terms on behalf of your business. If you don't have authority to bind the business, don't sign up.
AlloPlace is for businesses. It isn't for personal or household use.
2. What AlloPlace is
AlloPlace is an AI receptionist. It answers phone calls and website chats for your business, answers questions using information you provide, books and changes appointments in your connected calendar, transfers calls, takes messages, sends text messages, and keeps a record of calls in your dashboard (the "Service").
People who call or chat with your business through AlloPlace are "Callers".
3. Your account
- Give us accurate information and keep it up to date.
- Keep your login details safe. You're responsible for what happens under your account, including what your team members do.
- Tell us right away at TBD: security@alloplace.ai if you think someone has accessed your account without permission.
4. Your responsibilities toward Callers
You're the business your Callers are dealing with. You're responsible for how you use AlloPlace with them. In particular:
- Notices. AlloPlace plays a notice at the start of each call saying the Caller is talking to an AI assistant and that the call is recorded and transcribed. Don't turn it off or change it in a way that makes it misleading. TBD: depends on the fixed notice being built. You're responsible for any further notices or consents the law requires for your business, your industry or your Callers' locations.
- Your information. The receptionist answers from the information you give it. Keep it accurate, including hours, services and prices.
- Text messages. Only use AlloPlace to text Callers for the purposes the Service supports, such as booking confirmations and reminders, and only with any consent the law requires.
- Your own laws. Make sure your use of AlloPlace meets the laws that apply to your business, including privacy, consumer protection and language laws.
- Sensitive information. Don't use AlloPlace to collect payment card numbers, government ID numbers or health information. TBD: revisit if a healthcare offering is added.
5. AI makes mistakes
AlloPlace uses artificial intelligence. It can mishear, misunderstand or give a wrong answer, even when your information is correct. Review your calls, transcripts and bookings, and correct anything that's wrong. Don't rely on AlloPlace for decisions where a mistake could cause serious harm.
6. Not an emergency service
AlloPlace isn't an emergency service and can't contact emergency services. Tell your Callers to call 911 (or their local emergency number) in an emergency. TBD: whether to require an emergency line in the greeting for certain businesses, such as property managers.
7. Phone numbers
- Numbers we provide are supplied through our telephone providers. You can use them while your account is active.
- TBD: whether and how customers can port numbers in or out, and any fees.
- To send text messages in the US, carriers require us to register your business. You agree to give us accurate information for that registration. Delays caused by carrier review are outside our control.
- If you forward your own number to AlloPlace, your phone carrier may charge you for forwarding.
8. Acceptable use
You agree to follow our Acceptable Use Policy. We can suspend the Service if you don't (see section 15).
9. Plans and billing
- Plans. Plans, included usage and prices are listed on our pricing page. Prices are in US dollars unless stated otherwise.
- Usage. Usage beyond your plan's allowance (minutes, transfers, alert texts) is charged at the rates on the pricing page. Calls under 10 seconds and calls identified as spam aren't charged.
- Spending caps. You can set a monthly limit on usage charges. TBD: what the Service does when the cap is reached.
- Payment. Payments are processed by TBD: Polar as merchant of record, or Stripe. TBD: if a merchant of record is used, their terms also apply to the purchase.
- Renewal. Paid plans renew automatically at the end of each billing period until cancelled.
- Taxes. Prices don't include taxes unless stated. TBD: GST, HST and QST handling.
- Cancellation. You can cancel anytime from your dashboard. Your plan stays active until the end of the period you paid for. TBD: refund policy.
- Price changes. We'll give you at least TBD: 30 days' notice of a price increase. It applies from your next billing period after the notice period ends.
- Late payment. If a payment fails, we may suspend paid features after TBD days.
10. Free plan
The free plan is for trying AlloPlace. It has the limits shown on the pricing page and no phone number. We can change or end the free plan at any time.
11. Your data
- It's yours. Your business information, and the calls, transcripts, messages and contacts the Service creates for you ("Customer Data"), belong to you or your Callers.
- How we use it. We use Customer Data only to provide, secure and support the Service, and as described in our Privacy Policy. We don't sell it. We don't use it to train AI models.
- Our role. For Customer Data about Callers, we act as your service provider. TBD: Data Processing Agreement, available on request at launch and incorporated by reference.
- Providers. We use the providers listed on our Subprocessors page. Customer Data is processed in the United States.
- Retention. Recordings, transcripts and messages are deleted automatically after the periods in our Privacy Policy. You can delete some records sooner.
12. Third-party services
AlloPlace connects to services run by others, like Google Calendar. Your use of those services is governed by their terms. We aren't responsible for them, and if one changes or stops working, the related AlloPlace feature may change or stop too.
13. Availability and support
We work to keep AlloPlace running around the clock, but we don't promise it will never be interrupted. TBD: whether to offer a service level for Enterprise plans. TBD: describe the outage fallback once built.

14. Changes to the Service
We improve AlloPlace often. We may add, change or remove features. If we remove something material to a paid plan, we'll tell you in advance TBD: notice period.
15. Suspension and ending the agreement
- You can stop using AlloPlace and close your account at any time.
- We can suspend or close your account if you seriously or repeatedly break these terms, don't pay, or use AlloPlace in a way that puts Callers, other customers or us at risk. Where it's reasonable, we'll warn you first and give you a chance to fix it.
- After your account closes, you have TBD: 30 days to export your data. After that, we delete it, except what we must keep by law, as described in our Privacy Policy.
16. Open source and trademarks
Parts of AlloPlace are based on LobbyStack, open-source software released under the MIT License. Those parts remain under that license; see our Open-source notices. The AlloPlace name, logo and branding belong to us and aren't licensed to you. LobbyStack's maintainers don't operate AlloPlace and aren't a party to these terms.
17. Disclaimers
TBD: counsel to draft. Note: under Quebec law, some disclaimers and limits may not be enforceable, especially for consumers; AlloPlace is offered to businesses only.
Except as stated in these terms, AlloPlace is provided "as is". We don't promise that the Service will be error-free or that the AI will always be accurate.
18. Limitation of liability
TBD: counsel to draft. Typical approach: no liability for indirect or lost-profit damages, and total liability capped at the fees paid in the 12 months before the claim.
19. Indemnity
TBD: counsel to draft. Typical approach: the customer covers claims arising from its information, its use of the Service with its Callers, and its breach of the Acceptable Use Policy.
20. Changes to these terms
We may update these terms. If a change is material, we'll tell you by email or in the dashboard at least TBD: 30 days before it takes effect. If you keep using AlloPlace after that, the new terms apply.
21. Governing law
TBD: governing law and courts, for example the laws of the Province of Quebec and the courts of Montreal. Depends on where the legal entity is.
22. Language
TBD: counsel to draft the language clause. Quebec customers receive the French version first.
23. General
TBD: entire agreement, assignment, severability, no waiver, notices, force majeure, export controls.
